LAN Hero Warehouse Venue – Terms and Conditions & General Disclaimer

1. Acceptance of Terms

By submitting this venue application form for the use of the warehouse facilities operated by LAN Hero
("LAN Hero" or "Organization") in Irwindale, CA, you ("Applicant" or "User") acknowledge and agree to the following
Terms and Conditions and General Disclaimer. Submission of this application does not create a binding contract unless
expressly confirmed in writing by LAN Hero.

2. Application and Approval

1. Submission. Submitting this application does not guarantee venue approval. LAN Hero reserves the right to approve or deny applications at its sole discretion based on availability, suitability, and compliance with policies.


2. Event Information. Applicants must provide accurate details, including event name, date, time, number of attendees (maximum 50 persons, per fire and safety regulations), and type of activity. All events must remain private and not open to the general public.


3. Fees and Deposits. Approved Applicants must pay a deposit equal to fifty percent (50%) of the total event cost at the time of booking. The remaining balance is due in full prior to the event date.


4. Cancellations. Applicants must cancel in writing at least seven (7) calendar days prior to the scheduled event, or the deposit will be forfeited. LAN Hero may cancel bookings due to unforeseen circumstances; LAN Hero’s liability is limited to refunding fees already paid.


5. Insurance. Applicants must provide proof of general liability insurance of at least $2,000,000 per occurrence, naming LAN Hero as an additional insured, prior to event approval.

3. Venue Use

1. Permitted Activities. The warehouse may only be used for the event and activities described in the approved application. Unauthorized activities or public events may result in immediate termination without refund.


2. Conduct. Applicants are responsible for ensuring all attendees, staff, and volunteers comply with LAN Hero’s rules, safety requirements, and property care guidelines. A designated supervisor must be present at all times during the event.


3. Setup and Cleanup. Applicants are responsible for event setup and cleanup within the reserved rental period. The venue must be left in substantially the same condition as received. Additional cleaning or damage repair fees may be assessed if necessary.


4. Equipment. Any equipment to be used on-site must be disclosed in advance and approved by LAN Hero. Unauthorized or unsafe equipment is prohibited.


5. Prohibited Activities. Smoking, vaping, open flames, hazardous materials, illegal activities, or any use not explicitly authorized in writing by LAN Hero are strictly prohibited.

4. Volunteer Services (If Applicable)

1. Status of Volunteers. Volunteers, whether provided by the Applicant or by LAN Hero, are not employees, agents, or contractors of LAN Hero and will not receive compensation or employment benefits.


2. Responsibilities. Volunteers must comply with all LAN Hero rules, safety requirements, and confidentiality policies. The Applicant is responsible for ensuring that all volunteers are informed of and comply with these obligations.


3. Non-Binding Nature. Volunteer services are provided on an at-will basis and may be discontinued at any time by either party, without liability, except for ongoing confidentiality obligations.

5. Liability

1. Assumption of Risk. Applicants and attendees assume all risks of injury, property damage, or loss arising from use of the venue.


2. Release of Liability. Applicants release LAN Hero, its officers, staff, volunteers, and affiliates from any liability for claims, damages, or losses resulting from venue use, including those arising from ordinary negligence, except where prohibited by law.


3. Indemnification. Applicants agree to indemnify and hold harmless LAN Hero from and against any and all claims, damages, or expenses arising out of their event, except to the extent caused by LAN Hero’s gross negligence or willful misconduct.


4. Damage to Property. Applicants are financially responsible for any damage to the warehouse, equipment, or property caused by their attendees, vendors, or volunteers.

6. Confidentiality and Intellectual Property

1. Confidentiality. Applicants and volunteers must maintain the confidentiality of any sensitive or personal information (including attendee data) obtained during the event. These obligations survive termination of the event.


2. Intellectual Property. Any materials created specifically for LAN Hero (e.g., promotional designs, event layouts) shall be deemed the property of LAN Hero unless otherwise agreed in writing.

7. General Disclaimer

1. Limited Binding Effect. Except for payment and insurance obligations, this agreement is not intended to create a partnership, joint venture, employment, or agency relationship between the parties.


2. No Employment Relationship. Volunteers and Applicants are not employees of LAN Hero and are not entitled to wages, benefits, or other employment rights.


3. Force Majeure. LAN Hero shall not be liable for failure to provide the venue due to causes beyond its reasonable control, including natural disasters, power outages, or government restrictions.


4. Governing Law and Dispute Resolution. This agreement is governed by the laws of the State of California. Any disputes shall be resolved through binding arbitration in Irwindale, California.

8. Data Privacy

Applicants consent to LAN Hero collecting and using personal and event-related data solely for purposes of application
processing and event management, in accordance with applicable privacy laws (including the California Consumer
Privacy Act, "CCPA"). The Applicant is responsible for informing its volunteers and participants of these practices.

9. Termination

LAN Hero may suspend or terminate event use or volunteer participation at any time for non-compliance with these
Terms. Liability will be limited to refunding prepaid fees (if applicable). Applicants may cancel per the policy
outlined in Section 2.4.

10. Acknowledgment

By submitting this form, the Applicant certifies that they have read, understood, and agreed to these Terms and
Conditions and General Disclaimer, and that they are authorized to act on behalf of the applying organization or group.
